| Board
of Directors Performance Evaluation and Enhancement Process
(PEEPsm)
Boards of directors across the nation are struggling with the rapid
evolution of corporate governance in the wake of Sarbanes-Oxley
and the myriad of new requirements coming out of the SEC and the
listing exchanges.
The Directors' Network
offers facilitated board of directors self-evaluation modules
that can help you find out "where you are" so that you
can transition to "where you want to be" in this rapidly
changing environment.
The
basic self-evaluation tool is called the "Board of Directors
Performance Evaluation and Enhancement Process" -- PEEP (SM).
This tool can be easily modified to the special needs of your company
or non-profit organization's committee responsible for corporate
governance.
Self-evaluations have always been viewed as a proactive best practice
by boards truly interested in transitioning to higher levels of
performance. However, more than half of the board members of public
companies polled in a recent survey said evaluations had never actually
occurred at their companies. Public and non-profit organizations
need to determine, at least annually, whether their boards and committees
are functioning effectively.
